Kuwait Tightens Beneficial Ownership Rules with Hefty Fines, Licence Link

New resolution bars licence issuance or renewal without full disclosure, with penalties of up to KD10,000 per violation.

Kuwait has introduced tougher penalties for companies that fail to disclose their beneficial owners, as part of a broader regulatory push to strengthen corporate transparency.

The Ministry of Commerce and Industry has issued a new ministerial resolution reinforcing compliance obligations, making ownership disclosure a key condition for obtaining or renewing business licences.

Under Ministerial Resolution No. (37) of 2026, which amends provisions of Resolution No. (4) of 2023, companies will be denied new licences or renewals unless they fully comply with beneficial ownership disclosure requirements.

The updated rules impose administrative fines ranging from KD1,000 to KD10,000 per violation for failing to disclose the beneficial owner or for submitting inaccurate information. The same penalties apply to individuals who falsely register themselves as beneficial owners or knowingly provide incorrect data.

The move aligns with Kuwait’s ongoing efforts to enhance financial transparency and bring its regulatory framework in line with international standards on anti-money laundering and financial integrity.

The resolution took immediate effect upon its issuance on April 16, 2026.
